Subject: the public circuit of a listed technology company. The measurement passport was fixed before calculation; the unit of account is money of consolidated reporting; values under different accounting conventions are reported separately and never merged.

Finding P-1 · One year, five results [grade A]

The 2024 result is quoted publicly in five distinct measures whose extreme values differ by a factor of four and a half. Each measure is internally lawful; none is accompanied by a declared perimeter. Where a company is discussed by an audience that cannot reconcile the definitions, the choice of measure becomes a communications instrument. Condition of refutation: a summary table published by the issuer with the perimeter declared for each figure.

Finding P-2 · Debt service consumes about a third of operating energy [grade A/B]

Growth was financed by borrowing at one cost of capital and is serviced at another. The share of the operating result that leaves the circuit as interest is of the order of a third. The company is not in distress; it is in the state where an additional unit of revenue arrives already encumbered.

Finding P-3 · The forecast is coupled to remuneration without a protective pair [grade B]

Where a published forecast enters the calculation of management remuneration and no protective metric is registered alongside it, the forecast ceases to be a prediction and becomes a target. This is Goodhart’s law in its cleanest corporate form. The anti-Goodhart rule of the corpus requires that any target metric be registered together with a protective one, and that degradation of the protective metric void the recorded gain on the target. Condition of refutation: publication of a protective metric bound to the forecast, with its own threshold.

Verdict

The circuit is operationally healthy and metrically undisciplined. The lawful configuration is a metric audit with the construction of protective pairs, and a strategy stress test. A conductivity intervention is admissible only after the binding constraint has been tested on journal data.
